These Terms govern your use of the VartaForge platform - the studio at studio.vartaforge.com, the API, and any related services (collectively, the "Service"). By creating an account or signing a contract that references these Terms, you agree to them on behalf of your organization (the "Customer").
1. The agreement
These Terms, together with any signed order form, statement of work, or contract referencing them, are the complete agreement between you and VartaForge. They supersede any prior verbal or written discussions.
2. Accounts and access
- You are responsible for credentials and for the actions taken under your account.
- Per-seat / per-role access is governed by the plan you have purchased.
- You will notify us promptly if you suspect unauthorised access.
3. Acceptable use
You will not use the Service to:
- Generate content that is illegal under Indian law (defamation, obscenity, hate speech, communal incitement, content that violates the IT Act or content that breaches the Press Council guidelines).
- Impersonate another publication, individual, or institution.
- Generate misinformation about identifiable people, ongoing legal proceedings, or events you have no factual basis for.
- Attempt to extract, reverse-engineer, or train competing models on outputs of the Service.
- Probe, scan, or otherwise compromise the security of the Service.
Customer is responsible for editorial review of all generated drafts. The Service is a drafting tool. Publication decisions rest with the human editor.
4. IP ownership
What we own
- The Service itself: code, models, prompt designs, infrastructure.
- Brand assets, documentation, and the Cultural Knowledge Graph (where licensed separately).
What you own
- Your existing archive (the corpus you upload).
- Generated articles and audio scripts produced for your account.
- Your Voice Card and any derivatives generated from your corpus.
5. Voice Card rights
See the full Voice Card Property Policy. In short: your Voice Card is your property; we will not use it for any other customer; you can export and delete it on demand.
6. AI output disclaimer
The Service produces drafts. Drafts can be inaccurate. You are responsible for verifying every fact, name, quote, date, and statistic before publication. We do not warrant that any specific output is true, free of bias, or fit for a particular editorial purpose. The editor is the safeguard.
7. Fees, billing, and renewals
- Fees are set out in the order form. Monthly contracts auto-renew month-to-month; annual contracts auto-renew annually unless cancelled with 30 days' notice.
- Quotas (articles, audio minutes, voice cards) are reset at the start of each billing period. Overage is billed at the rates set out in the order form.
- Late payment may result in a temporary suspension of write access. We notify in writing before suspending.
- All fees are exclusive of taxes (GST etc.) which Customer is responsible for.
8. Termination
- Either party may terminate for material breach with 30 days' written notice and an opportunity to cure.
- On termination, Customer can export data for 30 days; after that, we delete per the Privacy Policy retention schedule.
- Sections that by their nature should survive (IP, liability, indemnity, governing law) survive termination.
9. Warranties
We warrant that the Service will be provided in a professional manner consistent with industry standards. We do not warrant the Service is uninterrupted or error-free. Beyond the express warranty in this section, the Service is provided "as is" to the fullest extent permitted by law.
10. Limitation of liability
Neither party is liable for indirect, incidental, special, or consequential damages, or lost profits or revenue, arising from or related to this agreement, regardless of the theory of liability. Our aggregate liability under or related to this agreement is capped at the fees Customer has paid in the 12 months preceding the claim.
11. Indemnity
Customer indemnifies VartaForge against third-party claims arising from Customer's use of the Service in violation of Section 3 (Acceptable use). VartaForge indemnifies Customer against third-party claims that the Service itself infringes a registered Indian intellectual property right; in such case we may, at our option, modify the Service, secure a license, or terminate the affected feature with a pro-rated refund.
12. Governing law and jurisdiction
These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts in Pune, Maharashtra.
13. Changes to these Terms
We may revise these Terms from time to time. Material changes are notified via email at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
